Rocky Cloud Hub B2B Subscription Terms

1. Provider, scope and B2B eligibility
The intended provider is Rocky Consulting GmbH. Its complete registered address, commercial-register details and authorised legal contact must be inserted and verified before approval.
These terms are intended only for companies and professional customers (B2B), not consumers. The person ordering must be authorised to bind the named company. Product-specific order details, the accepted configuration and these approved terms would together form the subscription agreement.
2. Service description and Swiss hosting scope
Rocky Cloud Hub provides a dedicated collaboration workspace that may include files, synchronisation, office editing, chat, video, calendars and tasks according to the ordered plan.
For Swiss deployments, customer content and core collaboration workloads are hosted in Swiss data centres. This statement does not cover separate billing and payment processing by Stripe, customer-selected third-party integrations, external email delivery or other services expressly identified in the privacy information.
3. Standard plans and active users
Entry covers up to 10 active users, Mid up to 25 and Premium up to 50. Sophos Intercept X is included only with Mid and Premium, not Entry. The current server-authoritative catalog and checkout summary determine the ordered plan and price.
An active user is every enabled, named internal account with sign-in access, regardless of role, including employees, administrators, managers and approvers. Disabled accounts and guests using only external share links without an internal login are excluded.
4. Prices, VAT and payment
Standard list prices are CHF 55 per month or CHF 528 per year for Entry, CHF 110 per month or CHF 1,056 per year for Mid, and CHF 190 per month or CHF 1,824 per year for Premium. Prices are net and exclude an estimated Swiss VAT rate of 8.1%.
Stripe calculates the final tax from the billing address before payment and processes billing/payment data under Stripe’s own terms and privacy framework, including internationally. Rocky Cloud Hub does not treat a browser return page as proof of payment; payment is confirmed only after a verified Stripe webhook is matched to the server-side order.
5. Contract formation and service onboarding
A customer checkout submission is an offer to purchase the displayed recurring subscription. Contract formation, order acceptance and the exact point at which the provider becomes bound require legal approval before publication.
Payment confirmation does not by itself claim that the workspace is already provisioned. The order confirmation and onboarding steps follow separately after the verified payment event and operational checks.
6. Term, renewal, cancellation and refunds
Monthly subscriptions renew monthly and may be cancelled effective at the end of the current paid period. Annual subscriptions are billed upfront and renew annually unless cancelled before the renewal date.
The commercial proposal is that no prorated refunds apply to partially used periods. Notice channels, notice timing, consequences of termination and any mandatory exceptions must be reviewed and approved by counsel before these terms become effective.
7. Trial
An approved customer may request a 14-day trial without a credit card. A trial request is not automatic activation and is subject to availability and onboarding checks. Unless the customer separately completes a paid order, the trial does not automatically convert into a paid subscription.
8. Setup, migration and tailored services
Standard package setup is CHF 0. One eligible basic migration from a technically accessible standard source may be included for files, email and calendars. It excludes data remediation, custom conversion and out-of-hours work.
Complex or high-volume migration, extra storage, integrations, API work, SSO, white label, specialist training and SLA commitments require a separate written scope and quote. They are not included merely because they appear as selectable request options.
9. Customer responsibilities and acceptable use
The customer is responsible for accurate company and billing details, authorised users, lawful content, account security, role assignment, suitable backups or exports under its control, and timely cooperation during migration and onboarding.
The service must not be used unlawfully, to infringe rights, to distribute malicious content, to defeat security controls or to create unreasonable operational risk. A final acceptable-use process, notice mechanism and remediation period require approval.
10. Support, maintenance and availability
Standard support and maintenance are provided according to the ordered plan and published service description. No guaranteed response time, uptime percentage, service credit, recovery objective or bespoke support duty applies unless it is expressly stated in an approved SLA or order document.
Planned maintenance, emergency security work and dependencies outside the provider’s reasonable control must be addressed in the final operational terms.
11. Data protection, confidentiality and subprocessors
The product privacy information and, where required, an approved data-processing agreement govern personal-data processing. Each party should protect the other party’s confidential information and disclose it only where authorised or legally required.
Stripe and any other approved processors or subprocessors must be disclosed with their relevant function and data-location implications. Customer-selected integrations may introduce separate providers and terms.
12. Intellectual property, suspension, warranty and liability
The customer retains rights in customer content. The provider and its licensors retain rights in the platform, software, documentation, branding and service improvements, subject to applicable open-source licences.
Detailed suspension rights, warranties, warranty exclusions, liability exclusions, liability caps, indemnities, force majeure and data-loss allocation are deliberately not finalised in this draft. They require Swiss legal review and must not be inferred from this text.
13. Governing law, venue, changes and contact
Governing law, exclusive venue, precedence of documents, assignment, severability, amendment procedure and formal notice addresses remain subject to legal approval. No venue or waiver is established by this draft.
